(a) A member of a club duly appointed by that club to attend the
meeting, or
(b)
The elected Representative on the Rugby Union Committee
of the Constituent Body to which the club is affiliated.
He must be supplied with a nomination paper signed by the Secretary
of the club concerned, authorising him to attend the General Meeting
on the club's behalf and record its vote on any specified subject or all
subjects on which voting takes place.
Each nomination paper must also indicate:
either (a) the vote or votes which the proxy is to record;
or
(b)
that he may vote at his discretion after hearing the
discussion.
All questions as to the validity of incomplete nomination papers
shall be determined by the Chairman of the meeting.
A proxy may represent one or more clubs, but must hold a nomina-
tion paper from each club in the prescribed form.
15. The Annual General Meeting shall be held not later than
15th July, for the election of Officers, the consideration of the Bye-
Laws, the Laws of the Game, the Rules as to Professionalism, and
other items on the Agenda on which, if necessary, voting shall take
place.
After the completion of the Agenda, the Chairman will be prepared
to hear any relevant matter for the consideration of the Committee,
but on which no voting shall be allowed.

Any club shall have the right to make nominations for the
offices of President, Vice-Presidents and Hon. Treasurer. Such nomina-
tions can only be made from those on the Committee (prior consent
of nominee having been obtained in writing) and must reach the
Secretary of the Union by April 1st.

There shall be sent to each club not later than April 15th in
each year a list of the Committee at that date, together with the
Committee's nomination of Officers for the ensuing year, and all other
nominations received under Bye-Law

18. If, after the issue of the notice and before the Annual General
Meeting, an Officer nominated as above become unable to serve, the
Committee shall have the power to submit another name for the
consideration of the Meeting.
19. The election of Officers shall take place at each Annual General
Meeting, and be decided by a majority of votes recorded.
If the Honorary Treasurer be elected from the elected representatives,
his representation shall become void and the Constituent Body con-
cerned shall elect another representative to fill the vacancy. Such
election shall be made within thirty days of the Annual General
Meeting; if not, the Committee shall fill the vacancy.
20. No Bye-law or Rule as to Professionalism shall be altered,
rescinded or added to without a majority of at least two-thirds of votes
recorded at a General Meeting. Any alterations in the Rules as to
Professionalism shall be notified to the other Unions in membership
with the International Rugby Football Board forthwith.
